15,2016 INTEL®INTERNETOFTHINGS(IoT)ROADSHOWTERMS&CONDITIONSCOVERINGTHESHENZHEN,CHINAEVENTINCLUDINGHACKATHONCONTEST NOPURCHASENECESSARYANDNOADMISSIONFEEREQUIRED GeneralOverview.These“Terms&Conditions”governtheIntel®ofThings(IoT)RoadshoweventinShenzhen,China(“PRC”)whichisreferredtohereinaseitherthe“event”orthe“IntelIoTRoadshowevent.”Attheevent,anoptionalHackathoncontest(“Hackathon”or“HackathonContest”)willbeconductedwithpetingforprizes.TheseTerms&ConditionssetforththelegalrelationshipbetweenIntelCorporation(“Intel,”“Sponsor”or“us/we/our”),TheGameAgency,LLC(“Administrator”),ChinaGoldenBridgeTechnology&ServiceCo.Ltd.(“Agency”),andeachentrant(“attendee,”“entrant,”“participant”or“you/your”)regardingtheeventwhichincludestheHackathon.AlthoughIntelwillbeconductingotheractivitiessimilartotheeventatotherlocationsaroundtheworld,thoseotheractivitiesarenotgovernedbytheseTerms&Conditions. TheHackathonContestwillbeconductedinEnglish.Therefore,toeffectivelyparticipate,youmustbeabletoread,municatein,andunderstandEnglish. ByapplyingtoattendtheIntelIoTRoadshoweventandbyexpresslyeptingtheseTerms&Conditions,youfullyandunconditionallyept,agree,andassumeresponsibilitytobeboundbythem(includingalltermsandconditionsincludedindocumentsreferencedin,oressibleviaalinkcontainedwithintheseTerms&Conditions)andbyalldecisionsofIntel,Agency,andAdministratorinordancewiththeseTerms&Conditions.ThosedecisionsarefinalandbindinginallmattersrelatedtotheIntelIoTRoadshow.Inaddition,you,Sponsor,Agency,andAdministratorherebyacknowledgethevalidity(aslegalbindingdocumentsandevidence)ofelectronicordigitalmessages,documents,municationsandnotifications(includinge-mails)generatedorexchangedamongthepartiesintheframeworkoftheIntelIoTRoadshoweventorasaresultofitsimplementation. TheIntelIoTRoadshoweventissubjectto,andyouplywith,allapplicablenational,federal,state,provincial,territorial,municipalandlocallaws,regulations,policiesanddirectives.ResidentsofthecountrieslistedinSection1B,below,andwhereotherwiseprohibited,arenoteligibletoparticipateintheIoTRoadshowevent.TheseTerms&ConditionsarepresentedinEnglishand,forreferencepurposesonly,inSimplifiedChinese.TheEnglishversionoftheseTerms&ConditionswillbetheofficialdocumentgoverningthisIntelIoTRoadshowevent. anizingtheIntelIoTRoadshowevent,Inteldoesnotintendtopromoteitsproducts,trademarks,orservices,butratherIntelisseekingtoteachinterestedstudents,hobbyists,andentrepreneurialdevelopersabouttheIntelDevelopmentBoardsanditssoftwaretools.Theeventwillprovideattendeeswithhands-onexperiencewithIntelproductsandtheopportunitytointerfacedirectlywithIntelengineers.ThroughtheoptionalHackathonContesttobeheldattheevent(whereparticipantcandevelopanddemonstrateProjects(asdefinedinSection5A)),Intelhopestoidentifyinnovativeapplicationstotransformisolatedsystemsto-enableddevices -1- September15,2016 thatworkmunicatewitheachotherandthecloudwithaviewpotentiallytoexploitingsaidapplicationsindustriallymercially. CodeofConduct.TheIntelIoTRoadshowisanmunityevent.Everyoneisexpectedtoconductthemselvesasprofessionalsandtreateachotherwithdignityandrespect.Theeventisdesignedtoencouragetheopenexchangeofideasandexpressionandrequiresanenvironmentthatrecognizestheinherentworthofeverypersonandgroup. WhileattheIoTRoadshoworrelatedancillaryorsocialevents,allparticipants,includingspeakers,attendees,volunteers,sponsors,exhibitors,andeventstaffmustnotengageinanyformofharassment,includingharassmentbasedongender,genderidentityandexpression,sexualorientation,disability,physicalappearance,bodysize,race,age,religion,oranyotherstatusprotectedbyapplicablelocallaws.Harassmentincludestheuseofabusiveordegradinglanguage,intimidation,stalking,harassingphotographyorrecording,inappropriatephysicalcontact,sexualimagery,andesexualattention.Intelreservestherighttoaddressallegedharassmentasitdeemsappropriate. TheprojectsyoucreateandthoseyoudemonstrateattheIntelIoTRoadshowmaynotusesexualizedimages,language,activities,orothermaterialcreatingasexualizedenvironmentorwhichmaygenerallybeperceivedasharassment. 1.EVENTLOGISITICSANDATTENDEEELIGIBILITY 1A.LOCATIONANDDATEOFEVENT.TheIntelIoTRoadshowgovernedbytheseTerms&ConditionsisscheduledtotakeplaceinShenzhen,ChinafromOctober15–16,2016. TheIntelIoTRoadshoweventmaybechanged,canceledorotherwisemodifiedduetoadministrativeissues,businessissues,orduetoproblemsrelatedto,shippingtothePRCortheU.S.A.,exportorimportrestrictions,taxesorimportdutiesandothermandatoryrestrictionsthatmayvaryfromcountrytocountryandfromtimetotime,orregulations,customs,

5.HOWTOENTERTHEOPTIONALHACKATHONCONTEST. 5A.OVERVIEWOFSTRUCTURE.BelowisabriefoverviewoftheHackathonConteststructureattheIntelIoTRoadshowevent. -6- September15,2016 Step1:Attheoutsetoftheevent,YouwillbeaskedwhetheryouwishtoentertheHackathonportionoftheIntelIoTRoadshowevent.Ifyouwishtoenterthisoptionalaspectoftheevent,oYouwillfurtherbeaskedwhetheryouwishtoenterasanindividualormemberofateam.YoucanonlyentertheHackathonatthateventasanindividualorasamemberofoneteam.oIfyouwishtoenteraspartofateam,youwilleitherbeassignedtoateamofindividualsasdecidedbySponsorandtheAgency,or,youmayformateamyourselfconsistingofindividualspreviouslyknowntoyouorfromotherattendeesattheevent.Onceyouhavemadetheselectionofparticipatingasanindividualorasateammember,thisselection(andtheteamthatyouareon)cannotbechangedbyyouduringtheevent.Thereisnolimitonthenumberofpeoplethatmaybeincludedonateam. Step2:Onoraboutnoonoftheseconddayoftheevent,allindividualsandteamswilldemonstratetheirworkingdevelopmentboards(eacha“Project”)tothejudgesforscoringandranking. YourProject(includingthedemonstrationofyourProject)andtheonlineformassociatedwithyourProjectare,collectively,your“ProjectSubmission”or“Submission”. Eachentrant(eitherasanindividualorasateam)ispermittedtoenterasmanyProjectSubmissionsashe/she/theywish,solongaseachismateriallydifferentfromanyotherSubmissionenteredbysuchindividualorteam. TherearenocategoriesfortheProjects.Anyicwillbeepted(subjecttotheseTerms&Conditions)andallrankedagainsteachother.Allindividualsandteamswillpetingagainstoneanother.Forpurposesofclarification,therearenopetitiontracksforindividualsorteams. 6.SELECTIONOFWINNERSANDJUDGINGOFPROJECTSUBMISSIONS.Apanelofqualifiedjudges(determinedbyIntelortheAgencyintheirsolediscretion)willevaluateandcalculateascoreforallProjectSubmissions.ThescoreassignedtoeachProjectSubmissionisbasedonthefollowingProjectSubmissionJudgingCriteria: (i)HoweffectivelydoestheProjectSubmissionmaximizeandinnovateupontheDevKit?

8.INTEL’SUSEOFSUBMISSION.IntelgainsnoownershiprightsoveryourSubmissions.ByenteringaSubmissionyougrantIntelforadministrative,promotion,andmarketingpurposesrelatedtotheIntelIoTRoadshowevent,othercontestsconductedbyIntel,andtheproducts,orservicesofIntel,aroyalty-free,irrevocable,perpetual(or,whennotlegallypossible,fortheentiretermsofdurationofintellectualpropertyrights),non-exclusivelicensewiththerighttosub-licenseonaroyalty-freebasis(withoutyourseparateconsent)touseandexploitallintellectualpropertyrightsassociatedwiththeSubmission(including,butnotlimitedto,thecopyrights,trademarks,patentanddesignrights)includingwithoutlimitation,touse,adapt,reproduce,represent,disseminate,distribute,perform,modify,translate,publish,municate,orbroadcasttothepublicandpubliclydisplayyourSubmissioninwholeorinpart,onaworldwidebasis,andtoincorporateitintootherworksordeveloporpreparederivativeworks,inanyform,mediaortechnology(includingprintedmaterials,andnotablyIntelandIntelmarketingpartnerwebsites,etc.)nowknownorlaterdeveloped.IntelmayexploitthePrizewinners’Submissionsindustriallymerciallythrough,forexample,thedemonstrationoftheSubmissionsatcertainindustryoracademicevents,throughpotentialintroductionsattheseeventstomanufacturingandinvestmententities,throughthehighlightingoftheSubmissionsandwinnersontheIntelDeveloperZone,theInstructablesandotherIntelmarketingpartnerwebsites,orthroughpotentialintroductionstootherparties.Notwithstandingtheabove,thislicensedoesnotgiveIntelanyrighttoselltheSubmissiontoathirdparty,ortoofferitasavalue-addedpremiuminconnectionwithasaleorlease(thoughthepartiesmaymutuallyagreetothisatalatertime).NoformofdirectizationoftheSubmissionbyIntelispermittedwithoutyourexpresswrittenconsent. -11- September15,2016 Fortheavoidanceofdoubt,pensationforthelicenseoftheintellectualpropertyrightsassociatedwiththeSubmissionis$0USdollars. Ifrequested,youwillsignanyagreementorotherdocumentation(orobtainthesignaturefromrelevantthirdparties)thatmayberequiredforInteltomakeuseofthenon-exclusiverightsyougranttousetheSubmission(orthatmayberequestedtoconfirmIntel’srighttosuchuse). Incertainjurisdictions,aspecific,separatelicensingagreementisrequiredunderapplicablelaw.Ifyouarearesidentofoneofthosejurisdictions,youwillberequiredtoenterintoanadditionallicenseagreementwithIntelintheformandsubstanceplieswithapplicablelaw.Intelwillsendatemplateofthelicenseagreementtothoseresidentsbye-mail.Ifsent,thetemplatemustbefilledinandprintedoutbyyou,anditsexecutedhardcopysenttoIntelbymail.Thelicenseagreementwouldbeverysimilartothelicensetermsindicatedabove. IngrantingIntelthelicense,youherebyrepresentandwarrantthattheSubmissiondoesnotinanywayinfringeuponanythirdparty’sintellectualpropertyrights(whetherlivingordeceased).IntellectualpropertyownershipandrightstotheSubmissionremainwithyou(eitherwithyouortheteamthatsubmittedtheSubmission)exceptasprovidedinthisdocument.Otherwise,youeptandundertaketoholdIntel,Agency,andAdministratorharmlessagainstanythirdpartyclaims.IncasetheSponsor,Agency,orAdministratorsuffersdamagesduetothereferredviolation,youeptandundertakepensatethedamagesofIntel,Agency,andAdministratortotheextentpermittedbyapplicablelaw. Totheextentpermittedunderapplicablelaw,youconsentto,andwarrantthatyouhaveobtainedthewrittenconsentfromallothercreatorsofcontentintheSubmissionto,anyactsoromissionsbytheSponsorandeachoftheirrespectiveessorsandassignswhichwouldotherwiseconstituteaninfringementofthecreators'moralrights,ifany,(including,inparticular,therighttomaintaintheintegrityoftheSubmission,moralrighttofirstdistributionandthemoralpaternityright)andwaivesanyandallmoralrightsinfavorofIntel.Ifrequested,youwillprovidethethirdpartyconsenttoIntelinaformeptabletoIntel. BysubmittingaSubmission,youeptandacknowledgethatIntelwillnotbeobligatedtousetheSubmissionandthatIntel,initssolediscretion,willhavetherighttorefrainfromusingtheSubmission.Intelwillnotincuranyliabilitywhatsoevertotheextentitchoosestorefrainfromanyexploitationofitsrights. Totheextentrequiredbyapplicablelawonly,theconsentoftheentranttogranttheuseandexploitationrightstotheSponsorshallnotbeconstruedasanassignmentorwaivertoanyofhis/hermoralrightswhich,underapplicablelaws,maynotconstitutetheobjectofanytransferorwaiverwhatsoever.Totheextentpermittedunderapplicablelaw,youeptandacknowledgethatyouwillnotexerciseyourmoralrights.
9.PRIZES.DuringtheHackathonContestattheIntelIoTRoadshowevent,theProjectPrizeslistedbelowwillbeawardedbasedontheProjectSubmissionJudgingCriteriaandtheproceduresindicatedinSection6.AlltheProjectPrizesasstatedbelowareawardedasconsiderationofthe -12- September15,2016 creativeworkofthewinnersandinrecognitionofmeritoftheProjectandbywayofencouragementtopromotefuturetechnologicaldevelopmenttothebenefitofsocietyasawhole. AllProjectPrizevaluessetforthhereinareexpressedinUnitedStatesdollars(“USD”)thoughthevalueindicatedonanonlinegiftcardmaybeattheRenminbiequivalentvalueasofthedateofpaymentforeachProjectPrize. One

IwarrantandrepresentthatanystatementsmadebymetoIntelaretrue,andportraymyhonestbeliefandunderstandingaboutIntelanditsproducts.IrecognizethatIntel’suseofmyname,imageorstatementsmayreflectonIntel’sreputationandIamnotawareofanyfactsthatwouldcauseanynegativeassociation.IunderstandthatIntelisnotobligatedtousenorpensationforanyuseofMYIMAGE.IfurtherunderstandthatInteldoesnotacquireanownershipinterestinmypersonalinformationasaresultoftheseTerms&Conditions,andagree -15- September15,2016 thatIntelownsallcopyrightstoanyphotographsoraudio/videofootageittakes,andtoanyofthederivativeworksIntelcreatesasaresultofthisrelease.
